ChartLord AI provides software tools for market analysis. YOU retain complete control and ownership of your trading accounts, funds, and all trading decisions. We do NOT have access to, custody of, or control over your trading accounts or capital.

• Trading Authorization: Be legally authorized to trade financial instruments in your jurisdiction
• Financial Capacity: Have sufficient financial resources to bear the risk of trading losses
• Compliance: Not be prohibited from using such services under applicable laws or regulations
• Understanding: Understand the risks of trading and algorithmic trading systems

By using our Services, you represent and warrant that you meet all these requirements. Violation may result in immediate termination without refund.

• Broker-side issues may affect trade execution
• Market conditions may render certain strategies ineffective
• System updates or changes may temporarily affect functionality

• Any negligent or wrongful conduct by you

Any performance data, backtesting results, or hypothetical results displayed or referenced in connection with ChartLord AI:

• Have inherent limitations as they are created with the benefit of hindsight
• Do not reflect actual trading results, market impact, slippage, or fees
• Do not account for all financial risks and factors present in actual trading
• Are not indicative of future performance or results
• May differ substantially from actual live trading results

NO REPRESENTATION IS BEING MADE THAT ANY ACCOUNT WILL OR IS LIKELY TO ACHIEVE PROFITS OR LOSSES SIMILAR TO THOSE SHOWN.

13. YOUR RESPONSIBILITIES

When using ChartLord AI, you are responsible for:

• Making your own trading decisions - We do not make trading decisions for you
• Understanding the software - You should thoroughly test and understand how it works
• Monitoring your trades - Automated systems require supervision
• Managing risk - You must implement appropriate position sizing and stop losses
• Maintaining accounts - Ensuring adequate funds and margin in your trading account
• Complying with laws - Following all applicable trading regulations in your jurisdiction
• Securing your account - Protecting your credentials and license
• Verifying compatibility - Ensuring the software works with your broker

14. PROHIBITED ACTIVITIES

You agree NOT to:

• Use the software for any illegal or unauthorized purpose
• Attempt to hack, disrupt, or damage our systems
• Reverse engineer or decompile the software
• Share, resell, or redistribute your license
• Remove copyright or proprietary notices
• Use the software to provide services to third parties
• Create competing products based on our software
• Manipulate or abuse our systems in any way
• Violate any applicable laws or regulations
• Make false or misleading claims about the software's performance

Violation may result in immediate termination and potential legal action.

15. INTELLECTUAL PROPERTY RIGHTS

All content, features, functionality, algorithms, software code, trademarks, service marks, trade names, and other intellectual property in the Services are owned by ChartLord AI or our licensors and are protected by:

Your license does not grant you any ownership rights in the software or intellectual property.

We have NO control over and assume NO responsibility for third-party content, privacy policies, or practices. You acknowledge and agree that ChartLord AI shall NOT be responsible or liable for any damage or loss caused by third-party services.

Your use of ChartLord AI is subject to our Privacy Policy. We implement reasonable security measures to protect your data, but:

• We cannot guarantee absolute security of data transmitted over the internet
• You are responsible for maintaining the security of your credentials

19. TERMINATION

You may terminate your account at any time by canceling your subscription. Cancellation takes effect at the end of your current billing period.

24. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and Risk Disclosure Statement, constitute the entire agreement between you and ChartLord AI regarding the Services and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.

25. ASSIGNMENT

You may not assign or transfer these Terms or your license to any third party without our prior written consent. We may assign these Terms at any time without notice.

26. SURVIVAL

The following provisions shall survive termination of these Terms: Intellectual Property Rights, Limitation of Liability, Indemnification, Dispute Resolution, Governing Law, and any other provisions that by their nature should survive.

ChartLord AI operates as a software technology company. We are NOT:

• A registered broker-dealer in any jurisdiction
• A registered investment advisor
• A money services business
• Subject to financial services regulation

Your Responsibility: You are responsible for ensuring that your use of ChartLord AI complies with all applicable laws and regulations in your jurisdiction, including but not limited to:

• Securities regulations
• Financial services regulations
• Tax reporting requirements
• Anti-money laundering laws
• Know-your-customer requirements

28. UPDATES AND MODIFICATIONS

We may update, modify, or discontinue the software at any time. We will attempt to provide notice of material changes, but we are not obligated to do so. Continued use after changes constitutes acceptance.

We are not liable for any modification, suspension, or discontinuation of the Services.
